General

The sole proprietorship under the name "Nikolaos Oikonomopoulos" uses for commercial purposes the distinctive title "Simply Better" (hereinafter "the Business" or "We"), operates under the Greek laws and is located in the Municipality of Athens, Leof. 53 & Solonos Avenue, in accordance with the laws of the Greek Federation of Laws and Statutes. We have created the website www. simplybetter. gr (hereinafter "the Website") and a web-based application (hereinafter "the Application"), which provides digital capabilities via mobile or computer to professionals and businesses in the hospitality industry (hereinafter "the Customer(s)"). The visitor of the Website or the web page of the Simply Better online order entry application (hereinafter "Website") will be referred to as "User". Each User must carefully read these Terms of Use before using the services provided through them. These Terms of Use apply to all content included or posted on the Website and the Site and any changes made to them. If the User does not agree with the Terms of Use as described herein, then the User must not use the Website, the Site and the Services provided through them. Continued use of the Website and the Site, even after any changes are made to them, constitutes the User's unconditional acceptance of these Terms of Use. The Website and the App, subject to the terms and conditions set forth herein and all applicable laws and regulations, grants you a non-exclusive, non-transferable, personal, limited right to access and use the Website, the App and their content elements. This license shall in no way constitute a transfer of title or right to the Site, the Website, the App and their contents and is subject to the following restrictions: (1) you must retain on all copies of the Site, the App and their Elements all copyright and other proprietary rights notices; and (2) you may not modify the Site, the App and their Elements in any way or reproduce or publicly display, or distribute or otherwise use the Site, the App and their Elements or our logo for any public or commercial purpose, except as otherwise permitted herein. The use of the Website and the Site by minors (persons who have not reached the age of 18) and by persons lacking legal capacity is prohibited. By accepting the Terms of Use, the User expressly declares that he/she is an adult over the age of 18, who has read, understood and fully accepted the Terms of Use. You must be over 18 years of age and have full capacity for legal capacity to buy alcohol-containing products. Our Company reserves the right to cancel any order immediately and without notice, if it finds that the order has been placed by someone who is not legally entitled or is under the age of eighteen (18) years. In addition, our Company, our affiliates and distributors reserve the right to: * ask for valid proof of your age (e.g. ID card) before delivering the alcoholic products, * refuse delivery if you cannot prove that you are at least 18 years old, * refuse delivery to any person if they reasonably consider that delivery of the goods would violate a provision of law.

Obligations & User Liability

1. The Users accept, agree and covenant that they will make lawful and appropriate use of the Website, the Site and the Services provided, as well as that they will comply with the Policies posted on them and/or provided for in the applicable legislation.
2. The Users are obliged to refrain from any illegal, contrary to morality, unfair and abusive use of the content of the Website, the Site and the Services and not to engage in acts or omissions that may cause damage or malfunction to the Website, the Site and/or third parties or affect or endanger the provision of the Site's Services.
3. Indicatively and not restrictively, Users accept that they will not use the Website or the Application's Site for:
3.1. sending, publishing, posting, uploading, e-mailing or otherwise transmitting any content that is illegal for any reason, causes unlawful interference and damage to the Website, the Site or any third party, or violates the confidentiality or privacy of any person's information,
3.2. sending, publishing, posting, uploading, e-mailing or otherwise transmitting any content that causes offence to users' morals, social values, minors, etc,
3.3. sending, publishing, posting, emailing or otherwise transmitting any content to which users do not have a right to transmit under law or applicable contracts (such as inside information, proprietary and confidential information acquired or disclosed as part of employment relationships or covered by confidentiality agreements),
3.4. sending, publishing, posting, emailing or otherwise transmitting any content that infringes any patent, trademark, trade secret, or violates the copyright or other proprietary rights of any third party,
3.5. send, post, upload, e-mail or otherwise transmit any material that contains software viruses or any other code, files or programs designed to interrupt, damage, destroy or equip the operation of any software or computer hardware,
3.6. intentional or unintentional violation of the applicable Greek and Community legislation or its provisions,
3.7. harassment of third parties in any way and with any content,
3.8. collecting, storing, processing and/or communicating the personal data of other users and/or third parties
3.9. jeopardize the security of the Website's network and the Website.
4. The Users are solely responsible for the use of the Website and the Site, as well as for any damage caused to them or to any third party due to or as a result of the aforementioned use, as well as to fully indemnify the Company against any claim that may be raised by any third party as a result of the use of the Website and the Site and/or the offered Services.
5. In any case of illegal or contrary to the present Terms of Use and the applicable legal framework in force at the time of use of the Website and the Website by the Visitor, the latter is obliged to compensate the Merchant for any positive and/or consequential damage he/she may suffer from the aforementioned actions.
6. The User agrees that he/she will not represent and/or act on behalf of any other person or any other company or entity and will not use false information or information that he/she is not authorized to use.
7. The User accepts that he/she will not gain access to the database of the Website without the prior written permission of the Company and will not intercept data or personal information in any way.
8. The User agrees that he/she will not violate or attempt to violate the security mechanisms of the Website and the Site - including accessing any data or a server to which he/she does not have access rights - or in general the security of the Website and the Site and its related services.
9. The User agrees that he/she will not copy, reproduce, republish, transform, distribute or display publicly, decompile, disassemble, create derivative works, assign, license, transfer or adapt any of the software, information, text, graphics, source code or any other content from the Website or the Site without the written permission of the Merchant.
10. The User accepts that he/she will not use the Website or the Site and its services in a manner contrary to these Terms of Use for purposes other than those for which the Website and the Site were created and operate and for which the services are provided. By way of example and not limitation, the User shall not use the Website or the Site and its services for any illegal activity or to transmit or post any defamatory, offensive, abusive, threatening or obscene content or content that may cause annoyance, inconvenience or unnecessary concern.
11. The User agrees to use any information obtained through the Website or the Site in accordance with the applicable Greek and European legislation and regulations, including, but not limited to, the Greek legislation on the protection of personal data and privacy.

Acceptance of Terms of Use

1. The use of the Website and the Website of the Application, the Services offered through them and their content, are subject to these Terms of Use, as in force at any given time, which constitute the agreement between the Company and each person visiting the Website and the Website regarding their use.
2. Access to and use of the Website and the Site in any way (including simple navigation on them) indicates the User's unconditional acceptance of the Terms of Use, as in force at any given time.
3. By using the Website or the Site, it is presumed that the User agrees with all these Terms of Use, that the reading of this text is required before using the Services of the Application and, in addition, that his/her consent and full and unconditional acceptance of the terms stated, is expressed, certified and declared responsibly by ticking the box next to the hyperlink "Acceptance of Terms of Use" and any other hyperlink that may lead to the use of the services provided, and is considered as the User's signature on this text.
4. Any use of the services provided by the Website and the Site is possible if and only if the User has previously accepted unconditionally the aforementioned terms, as an additional proof that he/she has taken full knowledge of the terms and unconditionally agreed with them. The present Terms of Use are drawn up on the basis of all the legal rules of the Greek territory, are governed by Greek law, by the applicable legislative provisions of the European Union and by the International Treaties and are interpreted in accordance with the rules of good faith, commercial morality and the social and economic purpose of the right.

Limitation of Liability

The Merchant, its personnel, or other representatives or agents, shall not be liable, under any circumstances, for any consequential, incidental, indirect, special damages or expenses or monetary penalties, including, but not limited to, lost profits, business interruption of the Customer's business, loss of information or data, or loss of patronage, loss or damage to property, and any third party claims arising out of or in connection with the use, copying, or presentation of the Application Website to any Customer or its contents or any other linked website, regardless of whether the Merchant had notice, knowledge or should have known of such possibility. The Merchant, its staff, or other representatives or agents, has no responsibility for the quality, maintenance, storage and control of the food and products or services displayed on the Application's Website and sold by its Customers. The Merchant's Customers are responsible for the issuance by the competent authorities and maintaining in force all the licenses or approvals or certifications required by law for their operation, as well as for ensuring that the products and services sold are legal and comply with all the legal requirements relating to them. They are also responsible for preparing and delivering orders either to the service points or to the address you have requested as a User. The Merchant shall not be liable for any loss or damage arising from the contractual relationship between the User and the Customer, i.e. any professional or business that sells you products and services. The details of these businesses are indicated on the platform of the Application and on the retail receipts you receive. Restaurants, hotels, bars and other Customer businesses, in addition to their exclusive responsibility for the quality, preservation, storage and control of the food and products they sell through the Application's Website, are also responsible for the accuracy and completeness of any necessary labelling and descriptions regarding the ingredients and allergens contained in their menu products. The Merchant does not guarantee that the products sold by its Customers do not contain allergens. If you have allergies, allergic reactions or dietary restrictions and requirements, please contact the Client Business staff directly before submitting your order and make appropriate comments on your orders. The Merchant does not guarantee that the content, including photos, descriptions, prices, any discounts and the availability of products, which has been posted on the Website and relates to price lists or other information related to its Clients is correct, accurate or up-to-date. Also, the Merchant does not guarantee that the information transmitted by the Staff through the posting of texts, messages, notifications, comments, is accurate, verified, up-to-date, understandable or complete. It is possible that such information may contain inaccuracies, misspellings, due to human or electronic oversight. Therefore, the Merchant is not liable, under any circumstances, for any direct, indirect or consequential damages arising from the use of the Application or its Services.

Liability for third party content

The Website or the Site may contain hyperlinks or advertising banners that link to other websites, for access to information provided by third parties. In such a case, the reference to other websites is for the convenience of the Users and in no way creates any form of obligation on the part of the Merchant. The Company does not control the availability, content, privacy policy, quality and completeness of the services of other websites (web sites) to which it refers through hyperlinks or advertising banners. For any problem that may arise during the visit or use of these websites and for any questions regarding them, the User must address directly to the respective web sites and web pages, which are responsible for the provision of their services and not to the administrator of the Website. Under no circumstances should the Company be considered to endorse or accept the content or services of the web sites and pages to which it refers or to be linked to them in any other way. Links (hyperlinks) to the Website are allowed only to the main page of the Website www. simplybetter. gr and not to its pages that have (possibly) a password, unless there is an explicit agreement to the contrary between the Merchant and the referring entity.

Apart from the expressly mentioned exceptions (copyright of third parties, partners and institutions), all the content of the Website, the Site and the Services provided through the Application constitute intellectual property, registered trademarks and service marks of the Company and are protected under the relevant provisions of Greek law, European law and international conventions. Users may not republish, reproduce, distribute, disseminate, transmit, modify or transfer the above mentioned in any electronic or other medium and manner, for any reason, without the written consent of the Merchant. The other products or services mentioned on the electronic pages of the Website or the Application's Website and bearing the trademarks of the respective organisations, companies, sole proprietorships, partners, entities, associations or manufacturers, constitute their own intellectual and industrial property and therefore these entities are responsible for the relevant liability.

Personal Data

If the User has registered on the Website or the Application's Website, we may use his/her contact details to send informative emails, in accordance with the provisions of Law 4624/2019, Law 2774/1999, the decisions and instructions of the Personal Data Protection Authority and the General Regulation for the protection of personal data - Regulation (EU) 2016/679 of the European Parliament (GDPR). Changes to the Terms of Use

The Merchant reserves the right to change or modify the applicable terms and conditions for the use of the Website and the Website of the Application at any time. Such changes, modifications, additions or deletions to the terms and conditions of use shall take effect immediately upon their posting or notification. Your continued use of the Website and the Site after such change or modification shall be deemed to constitute acceptance of such changes, modifications, additions or deletions. The Merchant may, at any time, terminate, change, suspend or discontinue any individual function of this Website and the Application Site including the availability, presentation or description of any product or service. The use of the Website and the Website of the Application is subject to the Terms of Use in force at the time of the use of the services offered by the Merchant. The Merchant constantly expands, updates and improves its Website and its Application, as well as the related Services and renews these Terms of Use accordingly. We recommend that you read the Terms of Use periodically in order to be informed of any changes in their content. The Terms of Use may be modified without notice to Users.
